These Terms of Service ("Terms") govern your access to and use of the Vigil AI website and compliance scanning service at vigilaiact.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree with these Terms, you must not use the Service.
2. Description of the Service
Vigil AI provides an AI-powered compliance scanning tool that helps organisations assess their AI systems against the requirements of the EU Artificial Intelligence Act (Regulation (EU) 2024/1689).
The Service is offered in tiers:
Discovery (free):
- AI system risk classification (up to 3 systems) against the EU AI Act's four-tier framework
- Compliance readiness scoring and gap analysis
- Priority action overview and EU AI Act article citations
Assessment (paid, one-time):
- Everything in Discovery, with unlimited AI systems
- Professional downloadable PDF compliance report
- Annex IV deep-dive documentation analysis for high-risk systems
- Full documentation checklists, compliance cost and timeline estimates
Additional paid tiers (Professional, Enterprise) may be introduced in the future and will be described in updates to these Terms.
Important: The Service provides AI-generated informational guidance only. It does not constitute legal advice. Vigil AI is not a law firm and does not provide legal services. You should consult qualified legal counsel for definitive compliance determinations and regulatory advice.
3. Accounts & Access
The free Discovery scan does not require an account or payment. The paid Assessment report is available as a one-time purchase through our checkout process, and does not require account creation.
We reserve the right to suspend or terminate access to the Service at our discretion if these Terms are violated.
4. Payments, Pricing & Refunds
Merchant of Record: All payments for the Service are processed by Paddle.com Market Limited ("Paddle"), which acts as our Merchant of Record. When you purchase the Assessment report, your transaction is with Paddle, who handles payment processing, invoicing, and applicable tax collection on our behalf. Paddle's terms of service apply to your payment transaction.
Pricing: The current price for the Assessment report is displayed at the point of purchase. Prices are in euros (€) and include applicable taxes. We reserve the right to change pricing at any time; any price change will not affect purchases already completed.
VAT: Paddle automatically calculates and collects the applicable Value Added Tax (VAT) based on your location. A valid VAT invoice will be provided with your purchase.
Delivery: The Assessment report features (PDF download, Annex IV deep dives, unlimited systems) are unlocked instantly upon successful payment. Delivery is digital and immediate.
Refunds: Because the Service delivers digital content that is accessible immediately upon purchase, you acknowledge that you lose your right of withdrawal under the EU Consumer Rights Directive (2011/83/EU) once the Assessment features are made available to you. However, if you experience a genuine technical issue that prevents you from accessing the features you paid for, contact us at vigilaiact@gmail.com and we will work to resolve the issue or provide a refund at our discretion.
Chargebacks: If you believe a charge was made in error, please contact us before initiating a chargeback with your bank, so we can resolve the issue directly.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
- Use automated tools (bots, scrapers) to access the Service in a manner that imposes unreasonable load
- Interfere with or disrupt the Service's infrastructure or security
- Impersonate another person or entity
- Use the Service to generate misleading compliance certifications or documentation for fraudulent purposes
6. Intellectual Property
Our IP: The Service, including its design, code, and AI-powered classification service, is owned by or licensed to Vigil AI and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
Your Data: You retain ownership of all data you input into the Service. We do not claim ownership of your company information, AI system descriptions, or scan results.
Reports: You may use the PDF compliance reports generated by the Service for your internal business purposes, including sharing with your board, legal team, or advisors. You may not resell or commercially redistribute the reports.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Specifically, we do not warrant that:
- The AI-generated risk classifications are legally definitive or exhaustive
- Using the Service guarantees compliance with the EU AI Act or any other regulation
- The Service will be uninterrupted, error-free, or free of harmful components
- The regulatory information is complete or current at the time of your scan
The EU AI Act is a new and evolving regulation. National implementation, regulatory guidance, and interpretive case law may affect how the Act applies to your specific circumstances.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIGIL AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
Our total aggregate liability for any claims arising from or relating to the Service shall not exceed the greater of: (a) the total amount you have paid to us in the twelve (12) months preceding the claim, or (b) €200.
Nothing in these Terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.
9. Indemnification
You agree to indemnify and hold Vigil AI harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Upon termination, provisions that by their nature should survive (including Sections 6, 7, 8, 9, and 12) will remain in effect.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. We will update the "Last updated" date at the top of this page. Material changes will be communicated through a notice on the Service. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of Switzerland.
Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Switzerland, without prejudice to mandatory consumer protection provisions of your country of residence.
